TERMS AND CONDITIONS OF USE (PITCH2PITCH)

1. GENERAL PROVISIONS AND IDENTIFICATION

1.1. These Terms and Conditions ("Terms") govern the access to and use of the website located at https://pitch2pitch.eu/ (including any associated custom domains, subdomains, mobile views, or digital portals, collectively referred to as the "Platform").

1.2. The Platform is operated by Pitch2Pitch ("we", "us", or "our"), founded by Emil Shekerdjiiski, in strategic co-hosting and venue partnership with Networking Premium (official host, sponsor, and physical event venue partner in Sofia, Bulgaria).

1.3. By accessing the Platform, creating an account, applying to pitch, attending live monthly events, or using any associated services, you ("User", "Founder", "Applicant", "Jury Member", or "Visitor") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue using the Platform.

2. PLATFORM STRUCTURE AND SERVICES

2.1. Pitch2Pitch provides an interactive community platform designed to connect startup founders, investors, jury members, sponsors, and event guests around monthly pitch competitions held on the 11th of every month.

2.2. The core services and feature sections provided through the Platform sub-menus include:

Seasons & Events (`/seasons`): Schedule, countdowns, episode details, and registration links for upcoming pitch competitions.
Pitch Applications (`/apply`): Application submission portal for founders seeking stage presentation slots.
User Accounts & Authentication (`/auth`): User profile management, registration, and role assignment.
Startup Showcase (`/businesses`): Directory of participating startups, progress updates, product launches, and milestone tracking.
Community & Participants (`/comunity`, `/participants`): Networking directory of registered founders, community members, and ecosystem participants.
Jury Panel (`/jury`): Directory of investors, founders, and startup operators forming the evaluation panel.
Partners & Sponsors (`/partners`, `/sponsors`): Dedicated showcase for corporate partners, ecosystem supporters, and venue co-hosts including Networking Premium.
Media Hub (`/gallery`, `/videos`): Archived photos, live streams, and video recordings of past pitch episodes.
News & Updates (`/news`): Official announcements, competition wins, and ecosystem articles.
About (`/about`, `/faq`): Founder vision statement, competition format, and frequently asked questions.

3. USER ACCOUNTS AND SECURITY

3.1. Account Registration: Access to certain features, such as applying for stage slots or publishing startup updates, requires creating an account via the /auth route.

3.2. Account Responsibility: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account.

3.3. Account Termination: We reserve the right to suspend, disable, or terminate accounts that violate these Terms, provide false identity information, engage in spam, or infringe upon third-party rights, without prior notice.

4. PITCH COMPETITION FORMAT AND STAGE RULES

4.1. Competition Rules: Stage presentations at Pitch2Pitch events are subject to strict format constraints:

Pitch Duration: Maximum of 1 minute (60 seconds) on stage.
Presentation Slide: Maximum of 1 slide displayed on screen.
Jury Q&A: Subsequent evaluation and question period by the jury panel (typically up to 5 minutes).

4.2. Application & Selection: Submitting an application via the /apply route does not guarantee a slot on stage. Selection of pitching startups for each monthly episode is at the sole discretion of the Pitch2Pitch organizing committee.

4.3. On-Site & Stage Conduct: Participants presenting at physical venues operated by Networking Premium or virtual stages must maintain professional decorum. Any use of hate speech, inappropriate language, fraudulent claims, or disruptive behavior will result in immediate stage disqualification and removal from the Platform.

5. INTELLECTUAL PROPERTY AND MEDIA LICENSING

5.1. Ownership of Startup Ideas: Founders retain full ownership of their underlying business concepts, trade secrets, trademarks, pitch decks, and intellectual property submitted to or presented through the Platform.

5.2. Public Nature of Pitching: You acknowledge that Pitch2Pitch events are open public forums. Pitching non-patented technology, un-protected ideas, or confidential material is done entirely at your own risk. Pitch2Pitch and Networking Premium assume no liability for third-party copying or use of information disclosed during public pitch presentations.

5.3. Media License Grant: By presenting on stage, submitting media via /apply, or attending live events, you grant Pitch2Pitch and Networking Premium a worldwide, non-exclusive, royalty-free, perpetual, transferable license to:

Film, photograph, record, and stream your stage presentation, slide, voice, and likeness.
Publish, reproduce, edit, and distribute recorded media across the Platform (/gallery, /videos), social media channels, promotional materials, and partner platforms.
Feature your startup brand, logo, and public progress milestones in the /businesses directory.

6. ACCEPTABLE USE AND COMMUNITY CODE OF CONDUCT

6.1. Users agree to use the Platform exclusively for lawful and professional networking purposes. You agree not to:

Upload, post, or transmit content that is unlawful, defamatory, libelous, harassing, abusive, or discriminatory.
Impersonate any person or entity, or falsely state or misrepresent your affiliation with a startup, venture fund, or partner.
Upload malicious code, viruses, trojans, or engage in automated scraping/data extraction without prior written authorization.
Distribute unsolicited commercial communications (spam) to jury members, investors, or other participants.

7. NO FINANCIAL OR INVESTMENT ADVICE

7.1. Networking Platform Only: Pitch2Pitch operates as a community competition and networking ecosystem. The Platform, its operators, jury members, and co-hosts do not provide investment advice, broker-dealer services, financial underwriting, or formal legal opinions.

7.2. No Investment Guarantee: Participation in or winning a Pitch2Pitch episode does not constitute an offer, promise, or guarantee of capital investment, funding, or prize money, unless explicitly governed by a separate written competition prize contract.

7.3. Independent Due Diligence: Any discussions, connections, or scores generated on the Platform or during events are for informational and educational purposes only. Investors and founders must perform their own independent legal, financial, and technical due diligence.

8. THIRD-PARTY LINKS AND SPONSOR INTEGRATIONS

8.1. The Platform contains links to third-party websites, partner services, and sponsor platforms (including Networking Premium, technical infrastructure providers like shift^, and external social media channels).

8.2. Pitch2Pitch does not control, endorse, or assume responsibility for the content, privacy policies, or operational practices of any third-party websites or services.

9. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

9.1. "As Is" Basis: The Platform and all content, features, and event registrations are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied under applicable law.

9.2. Limitation of Liability: To the maximum extent permitted under the Bulgarian Commerce Act, Bulgarian Electronic Commerce Act, and applicable EU laws:

Pitch2Pitch, Emil Shekerdjiiski, and Networking Premium shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your access to, use of, or inability to use the Platform or attend events.
We shall not be held liable for technical disruptions, stage equipment failures, streaming interruptions, or event cancellations resulting from acts of God, venue outages, or force majeure events.

10. PRIVACY AND DATA PROTECTION

10.1. Personal data submitted through user registration (/auth), applications (/apply), or event participation is processed strictly in accordance with our [Privacy Policy](./pitch2pitch-privacy-policy.md) and applicable regulations (EU Regulation 2016/679 - GDPR and the Bulgarian Personal Data Protection Act - ЗЗЛД).

11. MODIFICATIONS TO TERMS

11.1. Pitch2Pitch reserves the right to modify or update these Terms at any time. Changes will take effect immediately upon posting to the Platform with an updated "Last Updated" date. Continued use of the Platform following any modifications constitutes acceptance of the revised Terms.

12. GOVERNING LAW AND JURISDICTION

12.1. Governing Law: These Terms, their interpretation, and any legal disputes arising out of or in connection with the Platform shall be governed exclusively by the laws of the Republic of Bulgaria.

12.2. Jurisdiction: Any legal action or dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent court in Sofia, Bulgaria.
